Course description

Overview

With particular emphasis on commercial contracts, consumer issues and data protection and presented from a practitioner’s viewpoint this course provides analysis of the key issues. We then seek to apply this knowledge through a series of practical case studies and drafting exercises. Brexit related developments will be commented on where appropriate.

Commercial Contracts - a wide variety of topics will be covered in this section including:

  • contract formation – how should the phrase ‘subject to contract’ be used?
  • contract interpretation – recent examples of the approach taken by the courts

  • rectification of contract – when will the courts allow this?
  • implied terms – recent case law
  • good faith – latest developments in terms of express and implied duties of good faith

  • force majeure – recent case law on Covid 19 related matters
  • variation of contract – further discussion of no oral modification clauses

Consumer law – this section will summarise the key recent changes to Consumer legislation and will include a discussion of:

  • EU New Deal for Consumers – what does it mean for you?
  • Examples of recent enforcement action
  • Meaning of ‘prominent’

Data Protection – following the end of the transition period a series of changes have been made in the way that data protection functions in this jurisdiction. This section will summarise all the important changes you need to know about as well as reviewing other important developments. Topics will include:

  • Relationship between the EU GDPR and the UK GDPR
  • Requirement to appoint a representative
  • International transfers of data – adequacy decision; standard contractual clauses
  • Update on the ePrivacy Regulation
  • Latest guidance on subject access requests
  • Enforcement examples and regulatory action policy

PSC Elective

This course may be taken as a PSC elective, although it may also be attended by non-trainees.
